6 Requirements to Open A Foreign-Owned Company (PT PMA) in Indonesia

Naming the
Company
Your company name must consist of at least three words, be unique, and not violate public order or morality. We verify the name's availability with the Ministry of Law and Human Rights.

Indonesian
Shareholders
Notarized and translated copies of the passports of all foreign shareholders and the appointed directors/commissioners are required for the incorporation documents.
3.
Paid-Up Capital
Statement
The company must meet the PT PMA minimum capital requirement by having a mandatory Investment Plan greater than IDR 10 Billion. The minimum Issued and Paid-Up Capital must be at least IDR 2.5 billion. This may vary; please seek consultation for your unique case.
4.
Nomination of Directors and Commissioners
You must appoint at least one Director (responsible for daily operations) and one Commissioner (responsible for supervision) to oversee the company's activities.

What Investor Visas Are Available
for PT PMAs?
Operating a PT PMA allows foreign investors to apply for specific long-term stay and work permits in Indonesia. The primary options are the Investor KITAS and the Working KITAS.
The Investor KITAS (E28) is the essential two-year stay permit for foreign investors in a PT PMA, designed to facilitate investment supervision. To qualify, an applicant must have a Director/Commissioner position and hold a minimum personal share value of IDR 10 billion.
The Working KITAS (E23) is the mandatory stay permit for any expatriate employed in a salaried, operational, or technical role by a PT PMA. Requirements include a Bachelor's degree, a CV showing 5 years of relevant experience, and a US$2,000 personal bank statement.
